Responsibilities
Key Duties and Responsibilities
Manage subsidiary entities in Switzerland and Europe and assist with ensuring the timely and accurate filing of all statutory filing and local register updates
Draft, review, manage the lifecycle of various corporate documents (board and shareholder approvals, POAs)
Handle various KYC requests for managed entities
Ensure accurate and up to date internal record keeping for managed entities
Liaise with the rest of the corporate legal team and tax team and external legal advisors
Assist the region & corporate legal & finance teams with any entity related matters in Europe
Assist other paralegals and attorneys with any company secretarial requests
Coordination of signature of legal documents
Provides guidance and support to subsidiary directors on all company secretarial related matters
Coordinate with Houston corporate office and other tax and legal professionals for restructuring projects
Provides general paralegal advice and support as needed and requested from time to time
Qualifications
Qualifications
Bachelor/Master degree in Law
Prior work experience in general paralegal duties
Must be proficient in MS office, Word, Excel, PowerPoint
Very good verbal and written communication skills in English and German; French nice to have
Legal training in corporate secretarial matters and legal drafting skills
Requirements
Strong written and verbal communication, interpersonal, organizational, and follow-up skills
Must be independent and able to work in a team-based environment
Must take responsibility for effectiveness of own work
Demonstrated success managing complex and competing organizational priorities in a fast-paced environment. Includes ability to work unsupervised, to manage and meet tight and multiple deadlines
Swiss working permit required.
