As Head Capital Markets Finance Legal, you will lead a team of 6 senior lawyers providing legal support for the following business activities:
Group Treasury activities: Working with Group Treasury\\\'s Funding team in all Group-wide external and internal capital markets transactions, credit facilities and other funding arrangements, as well as interactions with rating agencies and regulators (in particular, the Swiss Financial Markets Supervisory Authority FINMA). Providing legal support for Group-wide agreements, securities lending/borrowing and repo agreements, guarantees, cash management initiatives, derivatives, intra-group transactions and recovery planning. Advising Group Treasury in insurance and finance markets regulatory matters.
Group financial disclosure matters: Reviewing reports, press releases and investor presentations, participating as legal advisor in meetings of Swiss Re\\\'s Disclosure Committee and recommending classification of ad hoc matters under the SIX Swiss Exchange Ad hoc rules. Responsibility for reporting management transactions, major shareholdings and regular reporting obligations to SIX, and be a recognised representative vis-\\xc3\\xa0-vis SIX.
Group ESG and non-financial disclosure matters: Advising on regulatory disclosure requirements, internal policies and governance, commitments and external communications. Providing legal support to Sustainability Risk Management, Asset Management\\\'s Responsible Investment team as well as to the relevant Business Unit teams. Coordinating between legal colleagues who provide ESG support on a Business Unit or local level as well as attendance and regular presentations in Swiss Re\\\'s Group Sustainability Council.
Swiss corporate law and Group corporate governance matters: Supporting the Swiss Re Ltd (SRL) Company Secretary and the Group Corporate Secretariat team as well as the SRL Board of Directors and the SRL Governance & Nomination Committee on the Annual General Shareholders\\\' Meeting, the Articles of Associations, the Share Register and other Group specific corporate governance matters.
Leading or participating in the legal work-stream of Group-wide strategic projects, transactions and matters.
Main tasks/activities are:
Lead a team of 6 senior lawyers located in Zurich and London providing Capital Markets Finance Legal support to the business.
Provide feedback, mentoring and development opportunities to team members; ensure adequacy and quality of resources and promote agility within the team; manage costs effectively.
Reporting directly to the Corporate Centre & Group Functions (CCGF) General Counsel, you will be a member of the CCGF Leadership Team.
Understand business strategy, pipelines and external developments to assess implications for the Legal & Compliance function.
Identify, mitigate and manage key legal and reputational risks.
Collaborate with business clients, Business Unit/regional legal counsels and other partners, and cultivate relationships with external providers, regulators, rating agencies and other authorities.
Effectively balance Legal\\\'s enabling and governance functions.
Provide support as needed to CCGF General Counsel with respect to budget and resource planning, internal reporting, strategic objectives, projects and other corporate matters.
About the Team
We are the Capital Markets Finance Legal team, a unit within CCGF. The team supports a variety of Swiss Re Group internal clients including regular interactions with the Group General Counsel and Legal & Compliance Executive Team, Group Chief Financial Officer, Group Chief Risk Officer, Group Head of Treasury, Head Investor Relations, Head of Communications, SRL Corporate Secretary, Head of Accounting and Head Research & Sustainability.
About You
Qualified attorney (Swiss, US or UK) with a minimum of 10 years experience with a top law firm or (re)insurance company or bank
Proven track record of leadership, project and/or people management; experience in leading a diverse team is helpful
Significant exposure to global financial markets, expert in corporate law, governance and finance
Excellent capital markets regulatory knowledge with focus in areas of corporate and securities laws, asset management, finance, (re)insurance law and European economic law
High standard of professional accountability, energy and integrity
Ability to provide pragmatic advice and judgment in a fast-paced environment, and quickly identify, prioritize and problem solve issues
Excellent communicator, resilient, reliable and diligent with a capacity for self-reflection
Promotes teamwork through collaborative working approach
Intellectually curious and willing to challenge the status quo as appropriate
Proficient in English, other languages would be an advantage (in particular, German)
